Articles of Association (AOA)
A document setting out the internal rules and regulations governing how a company is managed and run, including rights of shareholders and powers of directors.
While the MOA defines what a company can do, the AOA governs how it is actually run internally — covering matters like director appointment and removal, board meeting procedures, share transfer rules, and shareholder rights.
The AOA operates as a binding contract between the company and its members, and among the members themselves, in relation to the company's internal affairs.
