Director's Fiduciary Duty
The legal obligation of a company director to act honestly, in good faith, and in the best interests of the company rather than their own personal interest.
Directors owe the company duties of care, loyalty, and good faith — including avoiding conflicts of interest, not making secret profits from their position, and exercising reasonable care and diligence in decision-making.
A director who breaches these duties can be held personally liable to compensate the company for losses caused by that breach.
