Memorandum of Association (MOA)

A foundational document of a company setting out its name, registered office, objects, and the scope of activities it is permitted to carry out.

The MOA defines the company's fundamental charter — what it was formed to do — and any activity outside the objects stated in it can, in principle, be challenged as beyond the company's legal power to undertake.

Amending the MOA (for example, to change the company's objects) generally requires a special resolution of the shareholders and, depending on the change, filings with the Registrar of Companies.
