Non-Disclosure Agreement (NDA)

A contract under which parties agree to keep specified information confidential and not disclose or use it beyond the agreed purpose.

NDAs are widely used before sharing sensitive business information — in funding discussions, potential partnerships, or employment — obligating the receiving party to keep the information confidential and use it only for the stated purpose.

A breach of an NDA can expose the breaching party to a claim for damages and, in appropriate cases, an injunction restraining further misuse or disclosure of the information.
