A legal remedy available to minority shareholders when the company's affairs are being conducted in a manner prejudicial to their interests or contrary to law.
Minority shareholders who feel majority shareholders or the board are acting unfairly — diverting business, diluting their stake improperly, or excluding them from management they were entitled to participate in — can approach the NCLT for relief under this remedy.
The tribunal has wide powers to remedy such situations, including regulating the company's affairs going forward, or directing a buyout of the minority shareholder's stake.
