Partnership Deed

A written agreement between partners of a firm setting out the terms of the partnership, including profit-sharing ratio, capital contribution, and each partner's roles.

While a partnership can technically exist even on an oral agreement, a written and, ideally, registered partnership deed provides essential clarity and evidence of the terms agreed — helping avoid or resolve disputes over profit sharing, decision-making authority, and what happens if a partner wants to exit.

An unregistered partnership firm faces certain legal disadvantages, including restrictions on its ability to sue third parties to enforce contractual rights.
